A company, although it’s considered a legal entity, is quite different from a living person. A living individual has a mind and hands to make decisions and take actions. However, a company, being an artificial entity, lacks these human characteristics. Consequently, it must work through real people. This is where directors come into play.

  1. General Meeting: You’ll also need to hold a general meeting. Ensure that all stakeholders receive notice of this meeting at least 21 days prior. During the general meeting, the appointment of the director is formally acknowledged through the adoption of a resolution.

 

  1. Issue the Letter of Appointment: After the resolution is passed, issue a letter of appointment to the director.
